ARTICLE III

BOARD OF DIRECTORS
 

Sec. 1.) The property, business and affairs of the Organization shall be managed by a Board of Directors. This Board of Directors shall be comprised of the President, Vice President, Secretary, Treasurer, the four Board Directors, Pastor(s) and Associate Pastor(s) (who shall have no vote, unless they are an elected a Board of Directors)

 

Sec. 2.) The Board of Directors may select the time and place for the holding of regular meetings of the Board.



 Sec. 3.) Special meetings of the Board of Directors may be called by or at the request of the President or any three (3) Board Directors by giving notice of the date, time, place and purpose of such meeting to all Board Directors at least one week in advance of such meeting.

 

Sec. 4.) A majority of the Board of Directors shall constitute a quorum for the transaction of business at any meeting of the Board.

 

Sec. 5.) Board of Directors as such shall not receive any salaries for their services.

 

Sec. 6.) Any vacancy occurring on the Board of Directors may be filled by the Board of Directors only until such time as the next regular election.

 

Sec. 7.) In the event any Board Director shall be unreasonably absent from three (3) meetings of the Board of Directors within one year, the Board of Directors may declare such office vacated. The Board of Directors shall determine the reasonableness of such absence.

 

Sec. 8.) The President of the Organization shall also serve as the Chairman of the Board of Directors.
